    Would you try 3.0.5 (unreleased, from CVS)?  There were many fixes to -M* behaviour put in after 3.0.4.

    "If -MD is used in conjunction with -E, any -o switch is understood to specify the dependency output file (but see -MF), ..."
    
    If this describes the behaviour you expect, then this issue is probably fixed in pre-3.0.5.
