To the FSF,
this is electronic mail which accompanies the hardcopy of the assignment
sent to the Boston office of the FSF. Attached are the assignment, the
software letter and the patch for the package gcc.
ASSIGNMENT OF COPYRIGHT, 07/06/2000

For good and valuable consideration, receipt of which International
Business Machines Corporation ("IBM") acknowledges, IBM shall transfer and
assign to the Free Software Foundation, Inc. (the ?Foundation?) IBM's
copyright ownership in each computer program identified in a Software
Letter(s) which refers to this Assignment of Copyright and which is signed
by an authorized representative of IBM and the Foundation, subject to the
conditions below and any additional terms in a Software Letter. Each such
transferred computer program is herein called a ?Transferred Work".
IBM reserves and retains for the benefit of itself and its subsidiaries
and affiliated companies a nonexclusive, worldwide, irrevocable, fully paid
up right and license to use, execute, copy, make derivative works of,
display, perform, distribute, sell, license and otherwise transfer each
Transferred Work and derivative works thereof and to authorize others to do
any of the forgoing under any terms and conditions.
The Foundation agrees that all of its distributions of the Transferred
Work, or of any work ?based on the Transferred Work? (that is any work that
in whole or in part incorporates or is derived from all or part of the
Transferred Work), shall be under a version of the Foundation's General
Public License, Lesser General Public License or Library General Public
License (collectively "LGPL").
IBM hereby agrees not to assert IBM's patents which are necessarily
infringed, i.e., it is not reasonably possible to avoid infringement, by
the use or distribution of the Transferred Work against those who use or
distribute the Transferred Work when the Transferred Work is used or
distributed under the GPL or LGPL.
The Transferred Work is provided "AS IS". IBM makes no express or implied
warranty (including without limitation any warranty of MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, TITLE or NONINFRINGEMENT). Under no
circumstances shall IBM be liable to the Foundation or to any licensee,
customer or distributor of the Foundation, for any direct or indirect
damages, including special or economic consequential damages, related to
the Transferred Work or this Assignment of Copyright, even if advised of
the possibility of such damages. Only a written agreement signed by both
IBM and the Foundation can modify this Assignment of Copyright. If there
is a conflict between the terms of this Assignment of Copyright and a
Software Letter, those of the Software Letter prevail. Except as modified
by a Software Letter, the terms of this Assignment of Copyright remain in
full force and effect. Other than the rights expressly granted, no rights
are granted to the Foundation whether by implication, estoppel or
otherwise. The provisions of this Assignment of Copyright and any Software
Letter(s) constitute the entire agreement between the parties and supersede
all prior agreements, oral or written, and all other communications
relating to the subject matter hereof. This Assignment of Copyright shall
be governed by the substantive Laws of the State of New York not
withstanding the choice of law provisions, and the Intellectual Property
Laws of the United States of America.

SOFTWARE LETTER

International Business Machines Corporation ("IBM") and the Free Software
Foundation, Inc. (the ?Foundation?) agree that the IBM Transferred Work
described below is assigned to the Foundation under the terms and
conditions of the ASSIGNMENT OF COPYRIGHT between IBM and the Foundation
dated 07/06/2000 when this Software Letter is signed by the authorized
representatives of both parties.
